Regarding NDA's and consultants in the restaurant industry. Any consultant in any industry should be used to signing non disclosures by now. Consultants are service providers and as such, are generally not competitive so it shouldn't be a problem. Having said that, many consultants, including myself, balance principal activities (investment) with agency business (consulting) so signing NDA's for me and my firm is sometimes problematic.
You are correct, in tech it's almost automatic because in many cases there is IP to protect. In the restaurant industry, show me an original idea and the next day there are 10 competitors. So the long answer is ask and try to get the NDA signed so there is no issue. But the reality is, that in the restaurant industry, it's just not as common.
Where I would insist on an NDA/non-circumvent agreement is with key employees. if you need a form, let me know.
